The H100 bitcoin merger in Norway closed today, tripling the Stockholm-listed treasury company's holdings to roughly 3,506 BTC — worth close to $228 million at bitcoin's ~$65,000 price as of Monday morning — without H100 paying a single krona in cash. Instead, the company printed 790.5 million new shares and handed them to Moonshot AS and a group of Norwegian sellers, priced purely by how much bitcoin each side brought to the deal. That structure is the whole story: it was engineered to leave existing shareholders' bitcoin-per-share almost exactly where it started, even as the company itself just got three times bigger.

There's no cash on either side of this transaction. H100 issued 790.5 million new shares to Moonshot AS and the Norwegian seller entities, with the share count set by a simple ratio: how much bitcoin each party was contributing relative to the combined treasury. The deal followed a March letter of intent and a June 23 shareholder vote, and closed today. H100 went into the merger holding roughly 1,051 BTC and came out with about 3,506 BTC after absorbing 2,455 BTC from Moonshot and the Norwegian holders — the headline "tripled its bitcoin" number every outlet is running. Executive Chairman Sander Andersen has framed the logic around scale and liquidity: H100 cross-listed in Frankfurt back in July 2025 specifically to widen its investor base, and a bigger, better-capitalized treasury is easier to finance and trade than a small one.
The 70% dilution nobody's pricing in
The flat bitcoin-per-share math conceals a much bigger shift underneath it: existing H100 shareholders got diluted by roughly 70%. Legacy holders now own about 30% of the enlarged company, while Geir Harald Hansen, the principal seller, holds close to 70% on his own — under a 12-month lock-up with only limited exemptions. That's a governance and future-float question the market hasn't really priced yet: a single new majority holder sitting on most of the stock, free to sell in pieces once exemptions apply and fully once the lock-up expires around August 2027. It also lands on a stock that's already down roughly 85% over the trailing 52 weeks, from about 10.40 SEK to under 1 SEK, independent of today's news. How the market is actually pricing the deal itself is unclear right now — one trade outlet reported H100 shares up around 6% on Monday, but the main equity data aggregator we checked still shows the pre-merger share count and a stale Friday close, so treat any specific post-close move as unverified until a clean print shows up.
Can other treasury companies copy this template?
That's the more interesting question than anything in H100's own numbers, because this deal lands at an odd moment for the sector. A growing list of publicly listed digital-asset treasuries — Satsuma Technology, Bitdeer and others — have already reduced, exited or loosened pure bitcoin-accumulation strategies this year, as unrealized losses and compressed valuations relative to their bitcoin holdings — what the sector calls mNAV — made issuing shares to buy more BTC a losing trade for many of them. H100 and Moonshot are betting the opposite way: that scale beats retreat, and that a no-cash, bitcoin-ratio structure is the way to get there without anyone needing to write a check. Even after tripling, H100's 3,506 BTC still trails Bitcoin Group SE's roughly 3,605 BTC as Europe's largest listed treasury, so this isn't a case of one company running away with the sector — it's one undercapitalized treasury combining with another. Copying it elsewhere needs two things that are hard to find together right now: a seller-treasury willing to hand over its bitcoin for stock instead of cash, and a buyer whose shareholders will accept dilution on the order of 70% to get there.
